2. Client Responsibilities

Clients agree to:

• Keep account credentials and sensitive information secure

Delays caused by lack of client feedback or required resources may affect project timelines.

3. Payments & Billing

Unless otherwise agreed:

• Payments are due according to the agreed invoice schedule
• Deposits may be required before work begins
• Late payments may result in paused services or delayed delivery
• All fees are non-refundable once work has commenced unless stated otherwise in writing

Clients are responsible for applicable taxes and third-party platform costs.

4. Intellectual Property

Client-Owned Materials

Clients retain ownership of materials, trademarks, and content they provide.

Developed Work

Ownership of completed deliverables transfers to the client upon full payment unless otherwise agreed.

We reserve the right to:

• Reuse general knowledge, techniques, and non-confidential code patterns
• Showcase completed projects in our portfolio unless restricted by agreement

Third-party software, libraries, plugins, or APIs remain subject to their own licenses.

5. Agentic AI & Automation Services

For AI-related services:

• Clients are responsible for reviewing AI-generated outputs before use
• AI systems may produce inaccurate or unexpected results
• We do not guarantee perfect accuracy, uninterrupted operation, or regulatory compliance unless explicitly agreed
• Clients must ensure they have legal rights to data submitted into AI systems

We are not liable for business decisions made solely from AI-generated outputs.

6. Cloud & Infrastructure Services

When managing infrastructure or deployments:

• Clients remain owners of their cloud accounts and billing relationships
• We may require administrative access to third-party platforms
• Service uptime may depend on external providers
• We are not responsible for outages caused by hosting providers, ISPs, or third-party services

Clients are encouraged to maintain backups and disaster recovery strategies.

7. Confidentiality

We will make reasonable efforts to protect confidential information shared during projects.

Both parties agree not to disclose confidential or proprietary information without permission unless required by law.

8. Warranties Disclaimer

Services are provided "as is" and "as available."

We do not guarantee:

• Error-free operation
• Continuous uptime
• Specific business outcomes
• Compatibility with all third-party systems
• Complete immunity from security threats or cyber attacks

However, no method of transmission or storage is 100% secure.

9. Limitation of Liability
